SeraHive Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of services provided by SeraHive Global System Integrators Pvt Ltd (“SeraHive,” “we,” “our,” or “us”), including our website, cloud VPS, enterprise server solutions, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and all policies referenced herein. If you do not agree to these Terms, you may not access or use the Services.

These Terms incorporate by reference the following policies, which together form the complete agreement between you and SeraHive:

3. Account Registration and Security

3.1 Account Creation

To use certain Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Credentials

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Restricting access to your account
  • All activities that occur under your account

You agree to notify us immediately of any unauthorized access to or use of your account.

3.3 Account Eligibility

You must be at least 18 years old to create an account and use our Services. By creating an account, you represent and warrant that you meet this requirement.

3.4 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms or any related policies
  • You fail to pay fees when due
  • We are required to do so by law
  • We determine, in our sole discretion, that providing the Services to you is no longer commercially viable

4. Services Description and Limitations

4.1 Service Offerings

SeraHive provides the following primary services:

    • Cloud VPS hosting
    • Enterprise server solutions
    • IT infrastructure management
    • Cloud adoption services
    • Kubernetes solutions
    • Related technical support

4.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. Changes to major features will be communicated in advance when possible.

4.3 Service Availability

Your use of the Services is subject to scheduled and unscheduled maintenance periods. We will attempt to provide notice before scheduled maintenance. Service availability commitments are detailed in our Service Level Agreement.

4.4 Beta Services

From time to time, we may offer beta or preview features. These are provided “as is” without warranty of any kind, and may be modified or discontinued at any time without notice.

5. Acceptable Use and Customer Conduct

5.1 Compliance with Policies

You agree to comply with our Acceptable Use Policy (AUP) at all times when using our Services. The AUP prohibits illegal, harmful, or abusive uses of our Services.

5.2 Compliance with Laws

You agree to use our Services in compliance with all applicable laws, regulations, and third-party rights.

5.3 Reporting Violations

If you become aware of any violation of these Terms or our AUP, please report it to abuse@serahive.com.

6. Fees and Payment

6.1 Service Fees

You agree to pay all fees associated with the Services you select. Fees are specified during the order process or in a separate agreement between you and SeraHive.

6.2 Payment Terms

  • All fees are payable in advance unless otherwise specified
  • You authorize us to charge your payment method for all fees due
  • All payment obligations are non-cancelable, and fees paid are non-refundable except as specified in our Refund & Cancellation Policy

6.3 Late Payments

Late payments may result in service suspension or termination. We reserve the right to charge late fees on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

6.4 Taxes

All fees are exclusive of taxes, which you are responsible for paying. If we are required to collect taxes on your behalf, these amounts will be invoiced to you.

6.5 Fee Changes

We may change our fees at any time with 30 days’ prior notice. Your continued use of the Services after such changes indicates your acceptance of the new fees.

7. Term and Termination

7.1 Term

These Terms commence on the date you first accept them and continue until all Services under these Terms have been terminated.

7.2 Termination by You

You may terminate these Terms at any time by:

  • Canceling your Services through your control panel
  • Contacting our customer support
  • Following the procedures outlined in our Refund & Cancellation Policy

7.3 Termination by Us

We may terminate these Terms:

  • Immediately for violation of these Terms or any related policies
  • With 30 days’ notice for any reason or no reason
  • Immediately if you fail to pay fees when due
  • Immediately if required by law

7.4 Effect of Termination

Upon termination:

  • All fees owed to us become immediately due and payable
  • Your right to access and use the Services will immediately cease
  • We will delete your data according to the timeframes specified in our Privacy Policy

8. Data Management and Backups

8.1 Your Data

You retain all rights to your data. You grant us a limited license to host, copy, transmit, and display your data as necessary to provide the Services.

8.2 Data Backup Responsibility

While we may provide backup services as part of certain Service plans, you are ultimately responsible for:

  • Maintaining backup copies of your data
  • Configuring and using backup features properly
  • Verifying the integrity of backups

8.3 Data Deletion

We may delete your data:

  • Upon your request
  • Following termination of Services, after the data retention period specified in our Privacy Policy
  • As required by law

9. Intellectual Property Rights

9.1 Our Intellectual Property

SeraHive and its licensors own all right, title, and interest in and to the Services, including all intellectual property rights. No rights are granted to you other than as expressly set forth in these Terms.

9.2 Feedback

If you provide suggestions, ideas, or feedback about our Services, we may use these without restriction or compensation to you.

9.3 Copyright Compliance

We respect the intellectual property of others and expect our users to do the same. If you believe content on our Services infringes your copyright, please refer to our DMCA/Copyright Policy.

10. Confidentiality

10.1 Confidential Information

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services, whether disclosed orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential.

10.2 Protection of Confidential Information

Each party agrees to:

  • Use the same degree of care to protect confidential information as it uses to protect its own confidential information
  • Not disclose confidential information to any third party except as required by law or as necessary to perform its obligations under these Terms
  • Limit access to confidential information to those who need to know and who are bound by confidentiality obligations

11. Warranties and Disclaimers

11.1 Limited Warranty

We warrant that the Services will perform materially in accordance with our published specifications and the service levels specified in our SLA.

11.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT YOUR CONTENT WILL BE SECURE OR NOT LOST OR DAMAGED.

12. Limitation of Liability

12.1 Exclusion of Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA LOSS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE CLAIM.

12.3 Exceptions

The limitations in this section do not apply to breaches of confidentiality obligations, violations of intellectual property rights, or indemnification obligations.

13. Indemnification

You agree to indemnify, defend, and hold harmless SeraHive and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • Your violation of these Terms or any related policies
  • Your content or data
  • Your violation of applicable laws or regulations
  • Your violation of any third-party rights

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim against SeraHive, you agree to attempt to resolve the dispute informally by contacting legal@serahive.com. We’ll attempt to resolve the dispute informally by contacting you through your registered email address.

14.2 Governing Law

These Terms will be governed by the laws of India, without regard to its conflict of laws principles.

14.3 Jurisdiction and Venue

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in New Delhi, India, and you consent to the personal jurisdiction and venue there.

15. General Provisions

15.1 Entire Agreement

These Terms, together with all policies referenced herein, constitute the entire agreement between you and SeraHive regarding your use of our Services.

15.2 Severability

These Terms, together with all policies referenced herein, constitute the entire agreement between you and SeraHive regarding your use of our Services.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

15.5 Force Majeure

We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, pandemic, terrorism, riot, civil unrest, government actions, or other events of force majeure.

15.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

15.7 Notices

We may provide notices to you via email, regular mail, or postings on our website. Notices to us should be sent to legal@serahive.com or to our mailing address.

16. Changes to These Terms

We may modify these Terms at any time by posting the revised terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
